MCA Filings & ROC Compliance
Companies and LLPs registered in India are required to comply with various Ministry of Corporate Affairs (MCA) and Registrar of Companies (ROC) filing requirements. These compliances apply throughout the year and are not limited to annual return filing. Timely and accurate filings help maintain updated corporate records and reduce the risk of additional fees, penalties, notices and regulatory complications.

Annual MCA & ROC Compliance
Companies are generally required to complete annual statutory compliance after finalising their financial statements and completing the required Annual General Meeting (AGM).
Common annual filings may include:
- Annual Return
- Financial Statements
- Director and company-related disclosures
- Other applicable annual forms and declarations
The applicable forms and timelines depend on the type of entity and specific statutory requirements.
Event-Based ROC Filings
Certain changes during the financial year require separate filing with the ROC. These may include:
- Appointment or resignation of directors
- Change in registered office
- Change in directors’ particulars
- Increase or alteration of share capital
- Share allotment
- Changes in company structure or particulars
- Other prescribed corporate events
Such changes should generally be reported within the applicable statutory timeline.
MCA Compliance for LLPs
LLPs also have prescribed MCA compliance requirements, including applicable annual returns, statements of account and solvency, partner-related changes and event-based filings. The filing requirements differ from those applicable to companies and depend on the LLP’s circumstances.
For NRIs & Foreign-Owned Companies
Companies having NRI or foreign shareholders/directors may require additional documentation and compliance, particularly where there are changes in ownership, directors or foreign investment. Foreign documents may also require notarisation, apostille or other authentication, depending on the filing.
Why MCA & ROC Compliance Matters
Regular compliance helps ensure that the company’s statutory information remains accurate and up to date with the MCA. It also supports good corporate governance, regulatory compliance and proper maintenance of the company’s legal records. MCA and ROC requirements should therefore be reviewed based on the entity’s structure, activities and changes during the year.
